By accessing or using the WRN Global website and services (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to all of these Terms, you must not access or use the Services.

We may revise these Terms at any time by updating this page. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

WRN Global operates through a group of companies. The WRN Group company that contracts with you, and that is responsible for providing the Services to you, depends on where you are located:

• United Kingdom, European Economic Area and Switzerland: your contracting party is Workplace Rewards Network UK Limited, a company incorporated in England and Wales with company number [company number pending] and registered office at [UK registered office address], United Kingdom.
• All other territories: your contracting party is Workplace Rewards Network Ltd, a company incorporated in the State of Wyoming, United States with registered office at 1309 Coffeen Ave, Sheridan, WY 82801, United States.

Where an order form, statement of work or written agreement between us names a specific WRN Group company, that company is your contracting party and prevails over the allocation above. References in these Terms to "WRN Global", "we", "us" or "our" mean the WRN Group company that is your contracting party.

Workplace Rewards Network UK Limited is a wholly owned subsidiary of Workplace Rewards Network Ltd.

• "Workplace Rewards Network Ltd" means the parent company of the WRN Group, incorporated in the State of Wyoming, United States.
• "Workplace Rewards Network UK Limited" means the group's UK subsidiary, incorporated in England and Wales with company number [company number pending].
• "WRN Group" means Workplace Rewards Network Ltd together with its subsidiaries, including Workplace Rewards Network UK Limited.
• "WRN Global", "we", "us" or "our" means the WRN Group company that is your contracting party under section 2.
• "User", "you" or "your" means any individual or entity that accesses or uses our Services.
• "Content" means all text, graphics, images, software, and other materials available through the Services.
• "Platform" means the WRN Global technology infrastructure, applications and associated services.

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable law or regulation.
• Attempt to gain unauthorised access to any part of the Platform or related systems.
• Introduce viruses, trojans, worms, logic bombs or other harmful material.
• Interfere with or disrupt the integrity or performance of the Services.
• Scrape, harvest, mine or otherwise collect data from the Services without our express written consent.
• Use the Services to transmit unsolicited commercial communications.

All Content on the Services, including but not limited to text, graphics, logos, icons, images, audio clips, software and compilations, is the property of a member of the WRN Group or its licensors and is protected by copyright, trademark and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Services for your internal business purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display or exploit any Content without our prior written consent.

Where the Services require account registration, you must provide accurate, current and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

We reserve the right to suspend or terminate your account and refuse any and all current or future use of the Services if we suspect unauthorised or fraudulent activity.

The Services may contain links to third-party websites or integrations with third-party services that are not owned or controlled by the WRN Group. We have no control over, and assume no responsibility for, the content, privacy policies or practices of any third-party websites or services.

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

We do not warrant that the Services will be uninterrupted, timely, secure or error-free, or that any defects will be corrected.

To the maximum extent permitted by applicable law, in no event shall your contracting party, or any other member of the WRN Group, or their directors, employees, partners, agents, suppliers or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation loss of profits, data, use, goodwill or other intangible losses, resulting from your access to or use of (or inability to access or use) the Services.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

If you are a consumer, nothing in these Terms affects your non-excludable statutory rights. For consumers in the United Kingdom, this includes rights under the Consumer Rights Act 2015 and other applicable consumer protection legislation, which apply in addition to these Terms.

You agree to defend, indemnify and hold harmless your contracting party and the other members of the WRN Group, and their affiliates, officers, directors, employees and agents, from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another.

Where your contracting party is Workplace Rewards Network UK Limited, these Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.

Where your contracting party is Workplace Rewards Network Ltd, these Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions, and the courts of the State of Wyoming shall have exclusive jurisdiction.

Consumers may also be entitled to bring proceedings in the courts of their country of residence where mandatory local law provides for this.

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity and limitations of liability.

If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and your contracting party regarding the Services.
